The city of Bethlehem and the Bethlehem Area School District will each see $317,000 in deed transfer tax revenue from the $1.4 billion sale of the Sands casino to Wind Creek Hospitality, well short of the millions the city alone had hoped to receive.

City Business Administrator Eric Evans confirmed Tuesday that the city had been notified that was the official figure and Bethlehem plans to deposit the money into its cash reserves. It means that the city’s $5.9 million wish list of one-time projects it hoped to put the money towards remains just a wish list thanks to the way the complex casino sale was structured.

The Bethlehem Area School District did not discuss potential uses of the money or build it into its 2019-20 budget.

Wind Creek spent $1.3 billion on the sale and took out a revolving $1 million line of credit to purchase the business from the Sands, but the unique ownership of the Sands proved to be a complicating factor. Shortly after the deal closed at the end of May, city officials started seeing early indications that the casino cash windfall would be well below the $6.5 million the city once thought it might see.

City Councilmen Bryan Callahan and J. William Reynolds both expressed their displeasure that the sale was set up in a manner that greatly minimized the real estate transfer tax.

Las Vegas Sands Corp. was the majority owner of Sands BethWorks Gaming LLC, which owned the events center, casino and surrounding land totaling about 56 acres. Local attorney and developer Michael Perrucci, New York real estate developer Barry Gosin and their business partners had about a 10 percent share in BethWorks Gaming.

The rest of the old Bethlehem Steel Corp. land transformed into a destination for Bethlehem -- almost 61 acres -- was owned by Sands BethWorks Retail LLC, and ownership was split 50/50 between the Sands and Perrucci and his partners. BethWorks Retail’s holdings include the outlet mall, the iconic blast furnaces, the Steel General Office building, No. 2 Machine Shop and several parking lots.

To sell the entire casino operation to Wind Creek Hospitality, Perrucci and the other minority owners in BethWorks Now LLC had their ownership stake transferred into a ground lease and Wind Creek then entered into a lease with them for the ground, as outlined in filings with the Pennsylvania Gaming Control Board. Wind Creek owns the buildings and site improvements.

Bethlehem had hoped to put the money toward a lengthy list of deferred capital improvement projects, like road repaving, a fire engine replacement schedule and new LED lights around the city. It also included improvements to the Rose Garden park in West Bethlehem as well as a study for a pedestrian bridge over the Lehigh River.
